SCI2, issued by Science Blockchain and tokenized by Securitize, LLC, is a tokenized venture fund interest representing an indirect, fractional, non-voting economic interest in the underlying incubator vehicle, Science Blockchain Holdings, LP [S1][S2].

Each token tracks the per-token NAV of Science Blockchain Holdings, LP, an actively managed venture and treasury portfolio comprising cash, crypto assets including Bitcoin (BTC) and Ethereum (ETH), and equity and token stakes in portfolio companies [S1]. The fund distributes 70% of the tokens it receives through its incubation and investment strategies directly to tokenholders; previously distributed portfolio-company tokens are excluded from published NAV [S1][S3]. NAV is stated minus fees and expenses charged at the fund level [S1].

The issuer and manager is Science Blockchain, an entity of Science Inc., with value tied to Science Blockchain Holdings, LP [S1]. The tokens are securities offered under a U.S. private-placement exemption framework and have not been registered under the Securities Act [S4]. The offering is marketed to non-U.S. investors and U.S. accredited investors subject to a minimum investment, with identity verification, accreditation checks and jurisdiction-based restrictions through Securitize iD [S4][S2]. Science Blockchain may redeem tokens at NAV following ten years from issuance on 30 days' notice, settled in ETH or another cryptocurrency, alongside a regulatory redemption provision [S1].

The tokens are issued as Securitize DS Tokens, a compliance-enabled ERC-20 extension under the DS Protocol launched on Ethereum, embedding registry and compliance controls [S2]. Original SCI tokens were frozen and upgraded to SCI2 through the Securitize portal, where holders register controlled wallets to receive periodic distributions [S5][S4]. Science Blockchain publishes per-token NAV periodically, historically quarterly [S1].
