MBSANTOS01, issued by MB Securitização e Distribuição S.A., is a tokenized-fund instrument that represents a fractional interest in SANTOS FUTEBOL CLUBE and tracks its net asset value [S1][S2].

The token references SANTOS FUTEBOL CLUBE (MBSANTOS01) as a certificate of receivables backed by credit rights under Brazil's Renda Fixa Digital line [S2][S1]. Returns follow either a pre-fixed or post-fixed model tied to indicators such as IPCA inflation, are paid in Brazilian reais, and accrue as total return at maturity rather than perpetual price tracking [S3][S4]. Trading carries no platform, custody, or maintenance fees; any product-specific fees appear in each token's lâmina [S5][S3].

The distribution and securitization issuer is MB Securitização e Distribuição S.A., operating through a crowdfunding platform under Resolução CVM nº 88 with registration exemption in Brazil, regulated by the Comissão de Valores Mobiliários [S1][S6]. The platform operator is Mercado Bitcoin Serviços Digitais Ltda. [S7]. Holders own certificates of receivables representing securitization titles backed by credit rights [S2][S1]. Investors open a free account, complete KYC identity verification, and invest from R$ 100 [S5]. Redemption occurs through liquidação of the underlying at maturity, paying reais proportional to tokens held, with secondary-market resale available between users [S4][S8]. Client deposits sit in segregated institutional custody audited annually by KPMG [S5].

Tokens are issued on the Rootstock, Polygon and Ethereum networks using the ERC-20 standard, with each offering's network confirmed in its lâmina [S9][S3][S2]. They are distributed through MB Securitizadora's crowdfunding platform with offering documents including the Anexo E and Termo de Securitização [S1][S2]. Settlement pays reais into the holder's account at maturity or as a partial advance, reducing tokens proportionally, and balances are verifiable on a public onchain registry [S4][S8].
